Terms of Service

The short version Carnovus is an online marketplace. We connect people who want to buy or sell vehicles, and we help dealers find them. We are not a dealer, a lender, or a party to any sale. Buyers and sellers do not message each other directly: conversations run through automated AI assistants that qualify buyers and pass summaries to sellers and dealers. Offers from dealers are made by the dealers, not by us. Please read the full terms below.

1. Who we are and what these terms cover

Carnovus is operated by Why SOO SERIOUS LLC, a Wyoming limited liability company, 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801 ("Carnovus," "we," "us"). These Terms of Service ("Terms") govern your use of carnovus.com and everything on it, including the marketplace, the "Sell Your Car" quote tool, the AI assistants, listing tools, and the seller, buyer, Flipper and dealer dashboards (together, the "Service").

By using the Service, creating an account, submitting a form, or chatting with an assistant, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.

2. What Carnovus is, and is not

A marketplace and lead platform. We host vehicle listings, help buyers find vehicles, collect quote requests from people who want to sell, and deliver qualified leads to sellers and dealers.
Not a dealer, broker, lender or agent. Unless a listing clearly says otherwise, we do not own, inspect, sell, finance, insure, or deliver any vehicle. Any sale, purchase, trade-in, financing or contract happens between you and the seller or dealer, not with us. We are not responsible for what happens in those dealings.
Not an appraiser or advisor. Price scores, "deal" indicators, market comparisons and similar tools are estimates based on the data we have. They are not appraisals, guarantees of value, or financial, legal, tax or mechanical advice.

3. Our AI assistants

When you ask about a vehicle, you are talking to an automated AI assistant (a "persona"), not to the seller, a dealer employee or a human at Carnovus. The assistant is powered by a third-party AI model.

Assistants can be wrong or out of date. Verify anything important (price, condition, history, availability, fees) with the seller or dealer before you rely on it.
An assistant cannot make binding offers, accept offers, set final prices, approve credit, or promise financing terms, and nothing it says is a contract.
Your conversation is recorded, summarized, and shared with the seller or dealer for that vehicle, with the contact details you provide, so they can follow up. See the Privacy Policy.
Do not put in anything you do not want shared with the seller or dealer, such as full Social Security numbers, bank or card numbers, or passwords. We will never ask you for those in chat.

4. Accounts

You are responsible for the accuracy of the information you give us, for keeping your password secret, and for everything done through your account. Tell us promptly if you think your account was accessed without permission. Dealer accounts are created by Carnovus staff only; dealers cannot self-register. Dealer owners are responsible for the people they add to their team.

We may suspend or close accounts that break these Terms, put others at risk, or have been inactive for a long time.

5. Listing a vehicle

If you post a vehicle, you confirm that:

you own it or are authorized to sell it, and it is lawful for you to sell;
everything in the listing (year, make, model, VIN, mileage, title status, condition, history, price) is true, complete and not misleading, including disclosure of salvage, rebuilt, flood, lemon-law buyback or similar branding and any known defects;
you own, or have permission to use, the photos and text you upload.

You keep ownership of your content. You give Carnovus a worldwide, non-exclusive, royalty-free license to host, display, resize, reproduce and distribute your listing content on the Service and in our marketing for the Service (for example, ads or social posts showing your listing) for as long as the listing is live and a reasonable period afterward. We may remove or edit any listing at any time.

Plan limits apply (currently 1 active listing on Free, 3 on the 3-Car plan, 9 on the Flipper plan). Plans, limits and features can change.

6. "Sell Your Car" quotes and dealer offers

Requesting quotes is free and creates no obligation for you.
Offers come from dealers, not from Carnovus. A dealer's offer may be subject to inspection, title and condition checks, and may be changed or withdrawn. We do not guarantee that you will receive any offer or any particular price.
Your phone number and email are not shown to a dealer until you accept or counter that dealer's offer. After that, the dealer may contact you.
When you submit a request, you authorize us to share the vehicle details and photos you provided with dealers we choose to match with your vehicle.

7. Messages from us and from dealers

If you agree on a form or in chat, Carnovus, and the sellers or dealers matched with your inquiry or vehicle, may contact you by text message (SMS) and email about offers, inquiries and your account, including messages sent using automated technology. Consent is not a condition of buying or selling anything. Message frequency varies. Message and data rates may apply. Reply STOP to any text to opt out or HELP for help; email us at the address in Section 17 to stop emails or texts. We may still send you account and security messages (for example, password-reset links). Carriers are not liable for delayed or undelivered messages.

8. Dealers

Dealers use the Service under a separate subscription or onboarding arrangement, and these Terms apply in addition. Dealers must hold every license and bond their state requires, follow all laws that apply to vehicle advertising, sales, financing, privacy, texting and calling (including the TCPA, CAN-SPAM, FTC rules, and state dealer and consumer-protection laws), and use lead information only to respond to the person who made the inquiry. Dealers may not sell or share lead data, and may not contact people who have told them to stop. Carnovus does not guarantee any number, quality or conversion of leads.

9. Paid plans and Spotlight

Some features (additional listings, Spotlight placement, Flipper tools, dealer subscriptions) may be paid. The price, billing period and renewal terms will be shown before you pay, and you authorize us (through our payment processor) to charge the payment method you provide. Unless the checkout says otherwise, fees are non-refundable, and you can cancel to stop future renewals. We may change prices going forward with notice. Paid placement does not make a listing more accurate, and we do not endorse any vehicle.

10. Rules of conduct

You may not:

post false, misleading, stolen, or unlawful listings, or listings for vehicles you do not have the right to sell;
try to bypass the Service to contact or solicit buyers or sellers outside it in order to avoid its features, or use lead data for anything but the inquiry it came from;
scrape, crawl, copy or resell listings, data or photos at scale, or use them to build a competing service, without our written permission;
harass, threaten, discriminate against, or impersonate others, or collect other people's information;
probe, attack, overload, or bypass the security or rate limits of the Service, or use bots against the AI assistants, forms or sign-in pages;
upload malware, or content that is unlawful, infringing, obscene, or contains other people's personal data without permission;
use the Service to submit fake leads, fake reviews or fake offers.

11. Reviews and reports

Where the Service lets you post reviews or report content, they must be honest and based on real experience. We may remove content that breaks these Terms and handle reports at our discretion.

12. Intellectual property

The Service, including its software, design, text, the Carnovus name and logo, and the AI personas, belongs to Carnovus or its licensors and is protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. If you send us feedback or ideas, we may use them without obligation to you.

If you believe content on the Service infringes your copyright, email the address in Section 17 with the details (what is infringing, where it appears, your contact information, and a statement made under penalty of perjury that you are the owner or authorized to act for the owner) and we will review it.

13. Third-party services and links

The Service relies on and may link to third parties (for example, vehicle-data providers, mapping, payment, email and text providers). We do not control them and are not responsible for their content or practices.

14. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, Carnovus disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that listings, prices, vehicle details, history, AI statements, offers or leads are accurate or complete, that any vehicle exists or is available, or that the Service will be uninterrupted or error-free. You are responsible for inspecting vehicles, checking history reports, verifying title, and deciding whether to buy or sell.

15. Limit on our liability; indemnity

To the fullest extent the law allows, Carnovus and its owners, officers, employees and contractors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, or for any loss arising from a transaction or dispute between users, or between a user and a dealer. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid Carnovus in the 12 months before the claim or (b) one hundred U.S. dollars ($100).

Some places do not allow some of these limits, so they may not apply to you in full. They do not limit liability that cannot be limited by law.

You agree to defend and reimburse Carnovus for claims, losses and costs (including reasonable attorneys' fees) arising from your content, your listings, your breach of these Terms, or your violation of law or of anyone's rights.

16. Disputes, governing law, changes and ending

Talk to us first. Before filing a claim, email us at the address below and give us 30 days to try to resolve it.
Governing law and place. Wyoming law governs these Terms, without regard to conflict-of-law rules, and subject to any consumer-protection laws of your home state that cannot be waived. Claims not resolved informally must be brought in the state or federal courts located in Wyoming, and you and we consent to those courts, except that you may bring a claim in small-claims court in your county of residence if it qualifies.
Changes. We may update these Terms. We will post the new version with a new date, and for material changes we will notify you on the site or by email. Using the Service after the effective date means you accept the changes.
Ending. You can stop using the Service and delete your account at any time from your account settings. We may suspend or end your access at any time for any reason, including breach of these Terms. Sections that by nature should survive (ownership, disclaimers, liability limits, indemnity, disputes) will survive.
General. If a part of these Terms is unenforceable, the rest stays in force. These Terms and the Privacy Policy are the entire agreement between you and us about the Service. You may not transfer your rights under them; we may transfer ours in a merger, sale or reorganization.
